Notice of Amendment to Terms and Conditions for Cash Management – Disbursement Products and Services

Summary of Changes as of January 31, 2024

Please be advised that the Terms and Conditions (T&Cs) for below Cash Management – Disbursement products and services will be updated in compliance with the guidelines for Financial Products and Services Consumer Protection Act set forth in BSP Circular 1160, dated November 17, 2022:

AUTO CREDIT PAYMENTS MANAGER

Under Customer Responsibilities                                     

3. The Customer shall indemnify and keep the Bank free and harmless from and against liabilities, losses, claims and damages arising or resulting from (i) negligence, willful act, fraud or collusion or violation of any the terms of this Agreement on the part of the Customer, its officer, employees and representatives and the use, operation and maintenance of the Auto Credit Payments Manager Module including the Bank facilities, or (ii) act or omission, fraud or representation, of any third party, especially the Beneficiaries, provided there is no gross negligence or willful misconduct on the part of the Bank, or its officers, employees and representatives, unless the Bank is guilty of gross negligence or willful misconduct and there is no contributory negligence on the part of the Customer.

Under Limitations on Liability

In no event shall the Bank be liable for any special, direct, incidental, exemplary or consequential damages, including but not limited to lost profits, unless the Bank is guilty of gross negligence or willful misconduct and there is no contributory negligence on the part of the Customer.

Under Other Terms and Conditions (New Provision)

The Bank reserves the right to change any or all of these terms and conditions. The Customer shall be notified of any such modification, amendment, or revision at least sixty (60) days prior to implementation of any amendments to the terms and conditions herein via e-mail or by public notice which may take the form of posting in public places, such as posting on the Security Bank’s website, or by such other electronic transmission or use of an electronic platform and/or at a conspicuous place within the premises of all banking units, which the Bank, at its option, considers appropriate and effective. Any such modification, amendment or revision shall be valid and binding upon you on the date of effectivity specified in the notice. If the Customer does not agree with the new/revised terms and conditions, they have the right to exit the contract without penalty provided, that such right is exercised within thirty (30) days from receipt of individual notice or thirty (30) days from issuance of public notice.

Under Bank and Customer Responsibilities

5. The Customer shall indemnify and keep the Bank free and harmless from and against liabilities, losses, claims and damages arising or resulting from (i) negligence, willful act, fraud or collusion or violation of any the terms of this Agreement on the part of the Customer, its officers, employees and representatives and the use, operation and maintenance of the IBFT Module including the Bank facilities, or (ii) act or omission, fraud or representation, of any third party, especially the account holders of the target members, provided there is no gross negligence or willful misconduct on the part of the Bank, or its officers, employees and representatives, unless the Bank is guilty of gross negligence or willful misconduct and there is no contributory negligence on the part of the Customer.

11. Both the Bank and Customer shall be responsible for beneficiary handling, reconciliation and disputes that may arise on the BancNet response and error codes. For complete BancNet system response and error codes, please refer to Annex B. Transaction with response code that falls under REJECT transaction codes are considered as an unsuccessful IBFT transaction, and the amount will be refunded or credited to Customer’s IBFT Funding Account within one (1) banking day and Customer has the option to re-create, re-send corrected instruction based on the reason of rejection. Transactions with response code that falls under SUSPECT transaction codes are subject to reconciliation and confirmation with BancNet and target member. Therefore, it should not be reprocessed immediately to avoid multiple debit/credit. Security Bank and Customer are aware that reconciliation and dispute resolution may not happen immediately (or same day the transaction happened) but rather may involve the next banking day depending on BancNet or the target member’s reply. If Bank is unable to confirm to Customer the final response code for the transaction that falls SUSPECT within the next banking day, the Bank shall have a period of five (5) banking days until to retrieve the final status of the transaction anything beyond the said period shall be deemed as a rejected IBFT transaction and will be fully refunded or credited to the Customer’s IBFT Funding Account.

12. For items, such as but not limited to unsuccessful timed-out transactions, the Bank shall return the said items to the Customer’s IBFT Funding Account. Any and all amendments or recall requests for such items may be acted upon and implemented by the Bank provided that it will not prejudice or cause damage, loss or claim to the BANK based on the latter’s reasonable determination. In case the BANK acts upon and implements such amendments, changes or cancellation or credit instructions, Customer hereby renders and keeps Bank free and harmless from any and all liabilities, damages and costs which may arise as a result or in connection with such implementation, unless the Bank is guilty of gross negligence or willful misconduct and there is no contributory negligence on the part of the Customer.

The Bank shall not be liable for any expense, claim, loss or damage arising out of or in any way relating to this Agreement, including but without limitation to that which arises from acts of third persons, natural disasters, calamities or events or circumstances not reasonably within the control of the Bank, such as typhoons earthquake, fire, strike, walk out, war, rebellion, electrical, computer or mechanical failures, except that which arises out of its acts constituting gross negligence in the performance of its obligations under this Agreement, unless the Bank is guilty of gross negligence or willful misconduct and there is no contributory negligence on the part of the Customer.

Check Payments (CheckWrite)

Under EWT Printing

It is hereby understood that the filing of withholding tax with the Bureau of Internal Revenue (BIR) in transactions where the payment of the same is required under this Agreement is solely the obligation of the Payee indicated on the check. The Bank shall be informed immediately by the Customer of changes in the computation of the EWT. The Customer shall be responsible for and hold the Bank free and harmless from any and all claims, damages and liabilities arising out of or incurred as a result of or in connection with the input of inaccurate details in the system and/or EWT Form and/or miscalculations, unless the Bank is found to be guilty of gross negligence or willful misconduct and there is no contributory negligence on the part of the Customer.

Under Data Privacy (New Provision)

The Parties to this Agreement, the Bank and the Customer, both recognize their responsibilities under the Republic Act No. 10173 (Act), also known as the Data Privacy Act of 2012, with respect to the data they collect, record, organize, update, use, consolidate or destroy from the Customer.

Obligations of Both Parties

a. Implement reasonable and appropriate organizational, physical, and technical measures intended for the protection of the Information in its possession against any accidental or unlawful destruction, alteration, and disclosure, as well as against any other unlawful processing.

b. Disclose, receive, and/or process the Information only for the purposes of performing its obligations under this Agreement.

c. Immediately notify the other Party of any major upgrade or security deficiency against the platform or system of the affected Party directly used to perform the obligations under the Agreement;

d. Mutually assist each other in ensuring compliance with the data privacy and bank secrecy laws by making available to each Party all information necessary to demonstrate compliance and furnishing information requested by the Party’s clients/customers.

e. Each Party shall immediately inform the other Party of any data privacy complaint and/or claim from referred customers arising from or relative to this Agreement, and the Parties will be jointly responsible in its resolution and closure of such complaint/claim.

Customer’s Obligations

The Customer shall be responsible for:

a. Informing their clients whether their personal information pertaining to him or her shall be, are being or have been processed, and obtaining their consent for such processing.

b. Furnishing their clients if the information indicated hereunder before the entry of his or her personal information into the processing system of the personal information controller, or at the next practical opportunity:

1. Description of the personal information to be entered into the system;

2. Purposes for which they are being or are to be processed;

3. Scope and method of the personal information processing;

4. The recipients or classes of recipients to whom they are or may be disclosed;

5. Methods utilized for automated access, if the same is allowed by the data subject, and the extent to which such access is authorized;

6. The identity and contact details of the personal information controller or its representative;

7. The period for which the information will be stored; and

8. The existence of their rights, i.e., to access, correction, as well as the right to lodge a complaint within the terms of this Agreement.

Any information supplied or declaration made to the Customer’s clients on these matters shall not be amended without prior notification of Customer to the Bank. Provided, that the notification under Subsection b. shall not apply should the personal information be needed pursuant to a subpoena or when the collection and processing are for obvious purposes, including when it is necessary for the performance of or in relation to a contract or service or when necessary or desirable in the context of an employer-employee relationship, between the Bank and the Customer, or when the information is being collected and processed as a result of legal obligation.

c. Provide their clients and the Bank reasonable access to, upon demand, the following:

1. Contents of his or her personal information that were processed;

2. Sources from which personal information were obtained;

3. Names and addresses of recipients of the personal information;

4. Manner by which such data were processed;

5. Reasons for the disclosure of the personal information to recipients;

6. Information on automated processes where the data will or likely to be made as the sole basis for any decision significantly affecting or will affect the data subject;

7. Date when his or her personal information concerning the data subject were last accessed and modified; and

8. The designation, or name or identity and address of the personal information controller;

d. The Customer shall be responsible for any damages sustained due to such inaccurate, incomplete, outdated, false, unlawfully obtained, or unauthorized use of personal information that may have occurred while the personal information was being processed by the Customer.

Bank’s Obligations

e. The Bank shall retain the information, including personal information for a period of five (5) years.

Others

f. The Bank has the right to dispute the inaccuracy or error in the personal information and have the Customer correct it immediately and accordingly unless the request is vexatious or otherwise unreasonable. If the personal information have been corrected, Customer shall ensure the accessibility of both the new and the retracted information and the simultaneous receipt of the new and the retracted information by recipients thereof: Provided, that all parties who have previously received such processed personal information shall be informed of its inaccuracy and its rectification upon reasonable request of the data subject.

g. The Bank has the right to suspend, withdraw or order the blocking, removal, or destruction of the Customer’s client personal information from the Customer’s filing system upon discovery and substantial proof that the personal information are incomplete, outdated, false, unlawfully obtained, used for unauthorized purposes or are no longer necessary for the purposes for which they were collected.

Under Miscellaneous (New Provision)

9. The BANK reserves the right to change any or all of these terms and conditions. The Customer shall be notified of any such modification, amendment, or revision at least sixty (60) days prior to implementation of any amendments to the terms and conditions herein via e-mail or by public notice which may take the form of posting in public places, such as posting on the Security Bank’s website, or by such other electronic transmission or use of an electronic platform and/or at a conspicuous place within the premises of all banking units, which the Bank, at its option, considers appropriate and effective. Any such modification, amendment or revision shall be valid and binding upon you on the date of effectivity specified in the notice. If the Customer does not agree with the new/revised terms and conditions, they have the right to exit the contract without penalty provided, that such right is exercised within thirty (30) days from receipt of individual notice or thirty (30) days from issuance of public notice.

Under Indemnification

1) The Bank shall be held free and harmless from, and the Customer agrees to indemnify and keep the Bank indemnified against, any and all liabilities, suits, proceedings or claims of whatsoever nature, losses, damages or expenses (including legal costs) arising from or in connection with the implementation of the present Agreement, including but not limited to the following:

a) The Bank’s action or inaction on any instructions sent by the Customer via CHECKWRITE SYSTEM unless the Bank is found to be guilty of gross negligence or willful misconduct and there is no contributory negligence on the part of the Customer;

Under Limitations on Liability

Subject to the provisions herein, should a court or other competent authority find the Bank to be liable for any act or omission for any reason whatsoever, the Bank’s liability shall be limited to the amount of the relevant transaction or the Customer’s actual damage, whichever is lesser. The Bank shall not be liable to the Customer for any indirect, special or consequential loss or damages arising in any way from this Agreement or the use of CHECKWRITE SYSTEM Facility, unless the Bank is found to be guilty of gross negligence or willful misconduct in relation to the subject transaction, and there is no contributory fault or negligence on the part of the Customer. The implementation by the Bank of its normal procedures for maintaining the confidentiality of information relating to its customers and the crediting of the Beneficiaries’ deposit accounts shall constitute fulfillment of its obligation to exercise due care in the use and operation of the Modules. The Bank shall not be liable or responsible for any loss incurred or damage suffered by the Customer by reason or as a consequence of (i) the misuse of the Facility, or (ii) inaccurate or incorrect information provided by the Customer and (iii) fraud or misrepresentation on the part of the Customer, Beneficiaries or alleged Beneficiaries or their respective representatives, unless the Bank is found to be guilty of gross negligence or willful misconduct in relation to the subject transaction, and there is no contributory fault or negligence on the part of the Customer.

eGOV (BIR eFPS RealTime)

Updated the following T&Cs:

15. The Customer shall be solely liable in cases where there is an erroneous debit instruction of an account or any other erroneous datum or information indicated in DigiBanker where such erroneous instruction, datum or information results in a claim or complaint by any party against the Bank. The Customer hereby warrants the correctness of the instructions, data and information in every eFPS instruction submitted to the Bank, and any error discovered therein or which results therefrom in the course of the Bank’s performance of the agreed service under this Agreement shall automatically be attributable to the Customer alone and shall remain its sole liability, unless the Bank is guilty of gross negligence or willful misconduct and there is no contributory negligence on the part of the Customer.

17. The Customer holds the Bank and other members of the Bank as well as any of their officers and representatives free and harmless from any and all liabilities, claims, demands, suits of whatever nature, arising out of or in connection with the implementation of this arrangement, including any and all errors and/or omissions inadvertently committed resulting to the Bank’s failure to effect any payment transaction that the Customer undertakes via the eFPS RealTime Module, unless the Bank is guilty of gross negligence or willful misconduct and there is no contributory negligence on the part of the Customer.

19. In no event shall the Bank be liable for any special, direct, incidental, exemplary or consequential damages, including but not limited to lost profits, unless the Bank is guilty of gross negligence or willful misconduct and there is no contributory negligence on the part of the Customer.

27. The BANK reserves the right to change any or all of these terms and conditions. The Customer shall be notified of any such modification, amendment, or revision at least sixty (60) days prior to implementation of any amendments to the terms and conditions herein via e-mail or by public notice which may take the form of posting in public places, such as posting on the Security Bank’s website, or by such other electronic transmission or use of an electronic platform and/or at a conspicuous place within the premises of all banking units, which the Bank, at its option, considers appropriate and effective. eGOV (Pag-IBIG RealTime)

Updated the following T&Cs:

13. The Customer shall be solely liable in cases where there is an erroneous debit instruction of an account or any other erroneous datum or information indicated in DigiBanker where such erroneous instruction, datum or information results in a claim or complaint by any party against the Bank. The Customer hereby warrants the correctness of the instructions, data and information in every Pag-IBIG instruction submitted to the Bank, and any error discovered therein or which results therefrom in the course of the Bank’s performance of the agreed service under this Agreement shall automatically be attributable to the Customer alone and shall remain its sole liability, unless the Bank is guilty of gross negligence or willful misconduct and there is no contributory negligence on the part of the Customer.

15. The Customer holds the Bank and other members of the Bank as well as any of their officers and representatives free and harmless from any and all liabilities, claims, demands, suits of whatever nature, arising out of or in connection with the implementation of this arrangement, including any and all errors and/or omissions inadvertently committed resulting to the Bank’s failure to effect any payment transaction that the Customer undertakes via the Pag-IBIG RealTime Module, unless the Bank is guilty of gross negligence or willful misconduct and there is no contributory negligence on the part of the Customer.

17. In no event shall the Bank be liable for any special, direct, incidental, exemplary or consequential damages suffered by the Customer or any third party, including but not limited to lost profits, unless the Bank is guilty of gross negligence or willful misconduct and there is no contributory negligence on the part of the Customer.

26. The BANK reserves the right to change any or all of these terms and conditions. The Customer shall be notified of any such modification, amendment, or revision at least sixty (60) days prior to implementation of any amendments to the terms and conditions herein via e-mail or by public notice which may take the form of posting in public places, such as posting on the Security Bank’s website, or by such other electronic transmission or use of an electronic platform and/or at a conspicuous place within the premises of all banking units, which the Bank, at its option, considers appropriate and effective. Any such modification, amendment or revision shall be valid and binding upon you on the date of effectivity specified in the notice. If the Customer does not agree with the new/revised terms and conditions, they have the right to exit the contract without penalty provided, that such right is exercised within thirty (30) days from receipt of individual notice or thirty (30) days from issuance of public notice. The Customer hereby warrants the correctness of the instructions, data and information in every PhilHealth instruction submitted to the Bank, and any error discovered therein or which results therefrom in the course of the Bank’s performance of the agreed service under this Agreement shall automatically be attributable to the Customer alone and shall remain its sole liability, unless the Bank is guilty of gross negligence or willful misconduct and there is no contributory negligence on the part of the Customer.

The Customer shall be liable in case there is an erroneous debit or credit instruction of an account or any other erroneous datum or information uploaded to the Bank where such erroneous instruction, datum or information results in a claim or complaint by any party against the Bank. The Customer hereby warrants the correctness of the instructions, data and information in every BOC instructions submitted to the Bank in accordance with this Enrollment Form, and any error discovered therein or which results therefrom in the course of the Bank’s performance of the agreed service under this Agreement shall automatically be attributable to the Customer and shall remain the Customer’s liability. The Bank shall be held free and harmless from any liability that may result in the reliance of the information in the Enrollment form and this Agreement and the Bank shall be indemnified by the Customer for any liability that may arise from the reliance therefrom, unless the Bank is guilty of gross negligence or willful misconduct and there is no contributory negligence on the part of the Customer.

9. The PAS6 Agreement between the BANK and BOC may be cancelled at anytime by either party with prior written notice of termination to the Customer.

10. The BANK may in the future impose charges on this arrangement within legal and regulatory limits with prior notice to the Customer.

12. The BANK shall not be held liable for any adverse actions/consequences instituted by BOC or payment made on overdue or past due accounts, policy lapses, and/or the like, unless the Bank is guilty of gross negligence or willful misconduct and there is no contributory negligence on the part of the Customer.

15. The Customer shall be solely liable in cases where there is an erroneous datum or information where such erroneous datum or information results in a claim or complaint by any party against the BANK. The Customer hereby warrants the correctness of the instructions, data and information in every IED or IEIRD application submitted to the BANK, and any error discovered therein or which results therefrom in the course of the BANK’s performance of the agreed service under this Agreement shall automatically be attributable to the Customer alone and shall remain its sole liability, unless the Bank is guilty of gross negligence or willful misconduct and there is no contributory negligence on the part of the Customer.

18. The BANK shall not be liable for any expense, claim, loss or damage arising out of or in any way relating to this Agreement, including but without limitation to that which arises from acts of third persons, natural disasters, calamities or events or circumstances not reasonably within the control of the BANK, such as typhoons, earthquake, fire, strike, walk out, war, rebellion, electrical, computer or mechanical failures, except that which arises out of its acts constituting gross negligence in the performance of its obligations under this Agreement, unless the Bank is guilty of gross negligence or willful misconduct and there is no contributory negligence on the part of the Customer.

2. At least one (1) day prior to the Payroll Date, the Customer Payroll Account shall be sufficiently funded with clean funds in the amount at least equal to the aggregate amount to be credited to the employees’ deposit account. The Customer hereby acknowledges that its failure to fully fund the Customer Payroll Account as described will prevent the Facility from processing any payroll instructions even if these have been duly authorized. Unless occasioned by gross negligence and willful misconduct on the part of the Bank, it is likewise understood that the Bank shall be held free and harmless from, and shall be indemnified for, any and all claims, liabilities or obligations, which any employee of the Customer or any third party may lay against the Bank by reason of the foregoing arrangement.
